BYLAWS
Fairview Cemetery Association By-Laws
§ 1 – Name
This corporation shall be known as the Fairview Cemetery Association and shall be incorporated as a cemetery corporation under the Not For Profit Laws of New York State.
§2 – Purpose
The purpose of the corporation shall be to hold and operate as a non-denominational public cemetery the lands owned by the corporation, known as Fairview Cemetery, located at 272 Steadwell Avenue, Amsterdam, NY 12010, for the benefit of the lot holders, both living and deceased.
§3 – Membership
The membership of the corporation shall consist of the lot holders within Fairview Cemetery and or anyone outside of the Cemetery that could bring their own unique skills to benefit the Cemetery without owning a lot.
§4 – Annual Meeting
The lot holders shall meet at an Annual Meeting to be held during the month of May of each year for the purpose of receiving reports from the officers and trustees of the association, the election of new trustees, and such other business as shall come before them. The trustees of the association shall establish the time and place of such meeting and cause notice of the time and place of the annual meeting to be advertised in a newspaper of general circulation published within Montgomery County, New York once in each of the three weeks immediately preceding the annual meeting.
§5 – Trustees
The operation and control of the affairs of the association shall be controlled by a Board of Trustees composed of twelve members of the corporation, three of whom shall be elected each year for a term of three years. Where a vacancy occurs in a trustee position through death, resignation, or by other means, the board shall have the power to fill such vacancy until the next annual meeting, at which time a trustee shall be elected to fill the remainder of the term. Election of trustees shall be by ballot and every lot holder of full legal age may cast one vote, either in person or by written proxy.
§6 – Organization
The Board of Trustees shall, immediately after the annual meeting, or as soon thereafter as possible, hold an organizational meeting at which they shall elect from among their number a President, a Vice President, a Secretary, a Treasurer, and such other officers as they deem appropriate. Officers shall serve in that capacity for one year, or until their successors are elected. The Board shall have power to remove any officer at any time for sufficient cause.
The trustees, at each annual meeting, shall make report to the lot holders of their doings and the management and condition of the property and concerns of the Association. The trustees of the association shall at the beginning of each year, and from time to time throughout the year, provide for the allocation the monies of the association as follows:
- Allocation shall be made first to the trust funds as provided for in Section 1507 of the Not For Profit Law of the State of New York.
- Allocation shall be made next to the payment of the indebtedness of the Association until such indebtedness shall be fully paid and satisfied.
- Any remaining amounts shall be applied to preserving, improving and embellishing the cemetery grounds and defraying the incidental expenses of the cemetery establishment.
The Board of Trustees shall establish a schedule and hold regular meetings, and shall hold special meetings at the call of the President or, in his absence, the Vice-President.
A quorum for the transaction of business at any meeting of the Board of Trustees shall consist of at least five members.
§7 – Officers
- It shall be the duty of the President to preside at all meetings of the Board of Trustees and at all Annual Meetings; appoint all committees not otherwise provided for; execute deeds for the cemetery lots; sign all orders to the treasurer and other documents requiring his signature; call special meetings of the Board when circumstances require, or upon request of three or more members of the Board; and to perform such other duties as are ordinarily performed by presidents of corporations.
- It shall be the duty of the Vice-President to assume the duties of the President in his absence, or when the President is unable to perform the duties of his office.
- It shall be the duty of the Secretary to give public notice of the Annual Meeting as provided for in Section 4 of these By-Laws; to attend all meetings of the Board of Trustees and the Annual Meeting, and record the proceedings of the same; draw all orders on the Treasurer; receive all monies and pay the same to the Treasurer; keep a register of all burials and grant permits for the digging of graves; safely keep and preserve all books and papers belonging to the Association, and deliver the same to his successor in office.
- It shall be the duty of the Treasurer to sign all deeds executed by the President; to receive all monies belonging to the Association; to pay them out on legally drawn orders; keep a just and accurate account of the same and report the same at each meeting of the Board of Trustees and at each Annual Meeting. The Treasurer shall be bonded by the Association for the faithful performance of his duties.
§8 – Operations
- The Board of Trustees shall employ a Superintendent and hire such other laborers as they may find necessary. It shall be the duty of the Superintendent to keep the grounds neat and in good order; dig or provide for the digging of all graves; in winter to keep the roads plowed and the walks shoveled; to meet all funeral processions at the gate and escort them to the grave(s); keep a record of all burials, giving the name of each person buried, the date of interment, the lot number, and provide such report to the secretary each month. He shall eject from the grounds any person acting in a disorderly or irreverent manner or any person he finds injuring any monument, gravestone, marker, fence, tree, shrub, bush, flower, or any other part of the cemetery, and shall report the same to the Board of Trustees; and to perform such other duties as the Board of Trustees shall assign to him.
- The trustees shall have a standing committee known as the Audit Committee, which shall, at the close of each year and at such other times as they deem necessary, conduct, or have conducted by a qualified accountant, an audit of the treasurer's books and the accounts of the Association. The results of such audit shall be made available to the lot holders at the annual meeting and shall be included in the cemetery's annual report to the NY State Division of Cemeteries.
§9 – Order of Business
- The following Order of Business shall be observed at all regular meetings of the Board of Trustees:

2. Reading and adoption of the minutes of the previous meeting.
3. Election of Officers

5. Reports of Committees
6. Unfinished Business
7. New Business
8. Reading and correction of minutes of the current meeting
9. Adjournment
- The following Order of Business shall be observed at each Annual Meeting of the Association:

2. Reading and adoption of the minutes of the previous meeting.
3. Report of the Secretary
4. Report of the Treasurer
5. Reports of other Officers
6. Reports of Committees

§10 – Amendments
These By-Laws may be amended at any regular meeting of the Board of Trustees, provided that any such amendments have been presented and read at the previous regular meeting of the Board of Trustees.
